Study: “New regulations for supervisory board members – the perspective of the supervisory board chairmen”

In view of the financial crisis, the role of the supervisory board members has been the subject of much debate in the past months,. In addition to the already existing rules, the Bundestag recently enacted the “Gesetz zur Angemessenheit der Vorstandsvergütung” (VorstAG), a law relating to the adequacy of the remuneration of members of the management board. This has tightened liability rules for supervisory board members noticeably.

The hoal of our survey in the late summer of 2009 was to add to the ongoing discussion by presenting the balanced opinions of the officials involved. They are the ones that have to fulfil their responsibilities in applying the new extended rules and must be aware of their personal and the business risks and duties involved.
